| ITV-Japan is Japan’s first internet television network for business executives and provides business news, interviews and analysis with Japanese business experts and opinion leaders. It is owned by KI-Asia, Ltd. (KIA) a leading edge Streaming Media Company that specializes in the development, production and distribution of internet-based broadband content. |

| Launched on January 1, 2003, iTV-Japan.com is the only streaming media website in Japan committed to creating original programming for both international and Japanese business executives. It has produced more than 165 different program segments to-date featuring leading international business executives and opinion leaders in Japan. In addition to its own programs, iTV-Japan also produces webcasts for the American Chamber of Commerce in Japan (ACCJ) and the British Chamber of Commerce in Japan (BCCJ).
ITV-Japan was the culmination of several years of development and planning. KIA produced its first internet streaming project for the Japan Association of Travel Agents (JATA) when it filmed and webcast the 1999 JATA travel congress. This was the first time that any conference (either domestic or international) had ever been webcast at Japan and placed KIA at the forefront of streaming media in Japan and Asia.
In 2005 / 2006 iTV-Japan will expand its channels and content to include Japanese-language programs that are targeted at Business Women, Senior Business Executives and Marketing & Sales executives. The company also expects to film and webcast a variety of corporate marketing and public relations programs as part of its service offering. |

| ITV-Asia was launched on February 1, 2005 and will focus on the Asia / China business market whereas iTV-Japan focuses on international and domestic business in Japan. ITV-Asia is taking advantage of China and Southeast Asia’s exploding broadband communications market. Combined together, iTV-Asia and iTV-Japan have the potential to reach over 45 million broadband subscribers in the Asia-Pacific region (Jan. 1, 2005 estimate) which is almost 50% of worldwide broadband users.
ITV-Asia will initially focus on China, producing programs for business executives in Chinese, English and Japanese. In the future, iTV-Asia will also begin to produce and webcast programs from Southeast Asia and has plans to set-up an operations center in Bangkok to compliment its Shanghai and Tokyo operations. |

| Streaming media refers to the concept and practice of sending (streaming) audio and video content over the internet, in effect turning internet websites into radio and television stations. Streaming media allows websites to provide entertaining, educational and informative content to internet users in a compelling manner that eclipses printed information which appears on most websites.
Streaming media changes websites from online brochures into exciting and compelling media which reaches out and grabs the attention of consumers visiting the website and it does so at a fraction of the cost of traditional media such as print advertising in magazines and newspapers and direct mail.
Streaming media applications are limited only by the imagination of corporate users, but in the United States and Europe standard applications for streaming media include – Corporate Marketing & Public Relations, Distance Learning, Employee Information, Human Resources and Investor Relations. |

| KIA is a registered Hong Kong company and has operations in Tokyo and Shanghai. The company operates a virtual television network under the iTV-Asia.com umbrella which includes the iTV-Asia and iTV-Japan websites. It streams its content 24-hours a day, seven days a week, and its content can be viewed by using Window’s Media Player software. The company is focused on expanding the successful niche programming model of cable and satellite television to the Internet, in anticipation of the continuing expansion of broadband technologies and the convergence of the internet with digital television.
The growth of broadband usage in Asia (current estimates of more than 45 million subscribers) creates the opportunity for the internet to emerge as a broadcast medium because of steaming media technology. With the spread of broadband internet connections and streaming media technology, television content and distribution is possible at a fraction of the costs necessary for producing and distributing content over traditional channels using broadcast, cable and satellite television. Internet television allows for a variety of content to be created and distributed to very specific niche markets which could not be achieved by standard television systems.
Other merits of internet television include its flexibility – viewers watch programs when they want and not when the media chooses to distribute it and they can watch the same program as often as they want (through archiving of content). Additionally, internet television occupies a unique position as both a local and global media – targeting specific individuals in a “local” area while being accessed by viewers on a “global” basis. And finally, internet television allows viewers to use the internet to hyperlink to additional information as needed. |

KI-Asia Ltd. (a Hong Kong based corporation) is the owner of the websites ITV-Asia.com and ITVJapan.com. For our own and client purposes we obtain personal information on individuals who visit our websites so that we can communicate with them on behalf of our websites or our advertisers and sponsors.
As part of our responsibility to you, our viewers we operate by the following principles:
(1) We identify whether the gathering of data is for our use (such as newsletters) or for our sponsors.
(2) We keep this data in computers that is separate from our video streaming servers for data security.
(3) We have trained our staff in the proper use of data so that data will not be used for purposes other than those you have authorized.
(4) When communication is from our sponsors, we require them to identify that the source of the data is from either ITV-Asia.com or ITVJapan.com so that you will know that this is an authorized communication.
(5) We offer you, our viewers, an opt-in / opt-out option so that you can cease receiving our newsletter or corporate communications at anytime.
(6) We offer you, our viewers, an opt-in / opt-out option on all advertiser / sponsor communication except in those cases where in order to qualify for prizes or other incentives you have clearly accepted that the advertiser / sponsor has the right to communicate with you as a condition for receiving prizes or other incentives. |
